Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the website at www.inspectsync.com and the InspectSync platform, including InspectSync Platform, InspectSync Field, and InspectSync Portal (collectively, the "Services") provided by InspectSync, LLC ("InspectSync," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

InspectSync provides a cloud-based platform for fire protection companies to manage inspections, scheduling, quoting, billing, customer relationships, field operations, and related business functions. The Services include web applications, mobile applications, APIs, and related tools and documentation.

3. Account Registration and Security

  • You must provide accurate, complete, and current information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You must notify us immediately at support@inspectsync.com if you become aware of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

4. Subscription and Payment

  • Access to the Services requires an active subscription. Subscription plans, pricing, and billing cycles are described on our Pricing page and in your service agreement.
  • Subscription fees are billed in advance on a monthly or annual basis, depending on your plan.
  • All fees are non-refundable except as expressly stated in your service agreement or as required by law.
  • We reserve the right to modify pricing with 30 days' written notice. Launch Rate subscribers are exempt from price increases for the life of their account, as described in their agreement.
  • Failure to pay fees when due may result in suspension or termination of your access to the Services.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services for any purpose that violates applicable federal, state, local, or international law or regulation
  • Upload, transmit, or store any content that is unlawful, defamatory, obscene, or infringes on the intellectual property rights of others
  • Attempt to gain unauthorized access to any portion of the Services, other accounts, or any systems or networks connected to the Services
  • Introduce viruses, malware, or other harmful code into the Services
  • Use the Services to send unsolicited commercial communications (spam)
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or disassemble any aspect of the Services
  • Resell, sublicense, or redistribute access to the Services without our written consent
  • Use automated tools (bots, scrapers, crawlers) to access the Services except through our published API

6. Customer Data

  • You retain all ownership rights to the data you enter into the Services ("Customer Data").
  • You grant us a limited, non-exclusive license to use, process, and store Customer Data solely for the purpose of providing and improving the Services.
  • You are responsible for the accuracy, quality, and legality of Customer Data and the means by which you acquired it.
  • We will not access, use, or share Customer Data except as necessary to provide the Services, comply with the law, or as otherwise described in our Privacy Policy.
  • Upon termination of your account, you may request an export of your Customer Data within 30 days. After that period, we may delete Customer Data in accordance with our data retention policies.

7. Intellectual Property

The Services, including all software, designs, text, graphics, interfaces, and underlying technology, are owned by InspectSync, LLC and are protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Services except for the limited right to use them in accordance with these Terms.

All trademarks, service marks, and trade names displayed on the Services are the property of InspectSync, LLC or their respective owners.

8. Third-Party Services and Integrations

The Services may integrate with or provide links to third-party services (e.g., QuickBooks, BSI Online, Brycer). Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Service Availability and Modifications

  • We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free operation.
  • We may modify, update, or discontinue features of the Services at any time. Material changes will be communicated with reasonable notice.
  • Scheduled maintenance windows will be communicated in advance when possible.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSPECTSYNC, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

12. Indemnification

You agree to indemnify, defend, and hold harmless InspectSync, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Customer Data.

13. Termination

  • You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.
  • We may suspend or terminate your access to the Services immediately if you violate these Terms, fail to pay fees, or if we reasonably believe your use poses a security risk.
  • Upon termination, your right to access the Services ceases. Sections of these Terms that by their nature should survive termination (including Sections 6, 7, 10, 11, 12, and 15) will survive.

14. Dispute Resolution

Any dispute arising out of or related to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the state where InspectSync, LLC is headquartered. You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action.

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide notice via email or within the platform. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

17. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy and any service agreement, constitute the entire agreement between you and InspectSync, LLC regarding the Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
